1. Agreement to Terms

By accessing or using the Kelaro website and services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

Kelaro provides a tool for converting bank statements (PDF) into Excel/CSV formats ("Service"). We do not verify the content of your files and use automated parsing technology. All PDF processing occurs 100% locally in your browser — your bank statements never leave your device.

3. User Responsibilities

You are responsible for:

• Ensuring you have the right to process the bank statements you upload.
• Verifying the accuracy of the converted files. Automated conversion may contain errors. We are not liable for any financial discrepancies or tax filing errors resulting from the use of our output.
• Maintaining the confidentiality of your account credentials.

4. Prohibited Uses

You agree not to use the Service to:

• Process documents you do not have the legal right to access.
• Engage in any automated data scraping, crawling, or bulk extraction.
• Resell, redistribute, or sublicense the Service to third parties.
• Attempt to bypass, circumvent, or exploit the credits/usage metering system.
• Upload documents containing illegal content.

5. Subscriptions and Credits

5.1. Billing

Services are billed on a credit basis or via monthly subscription. Payments are processed by Stripe.

5.2. Subscription Tiers

• Pay-as-you-Go: 50 credits for €4.99 (one-time purchase).
• Starter: 100 conversions per month (€9.99/month).
• Professional: 500 conversions per month (€29.00/month).
• Business: Unlimited conversions (€49.00/month).

5.3. Credit Expiration

Pay-as-you-go credits never expire. Monthly subscription usage limits reset on the 1st of each month.

6. Intellectual Property

Your Data: You retain full ownership of all documents you upload and data extracted from them. We do not claim any intellectual property rights over your content.

Our Service: The Kelaro service, including its software, design, and branding, is owned by Kelaro and protected by intellectual property laws.

7. Account Termination

We may suspend or terminate your account if you violate these Terms of Service. Upon termination:

• Your access to the Service will be revoked immediately.
• Unused credits from one-time purchases are generally non-refundable.
• For active subscriptions terminated due to violation, no pro-rata refunds will be issued.

You may delete your account at any time by contacting support. We will delete your account data in accordance with our Privacy Policy.

8. Limitation of Liability

In no event shall Kelaro, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify users of significant changes via email or a notice on the website. Continued use of the Service after changes constitutes acceptance of the new terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
